TERMS AND CONDITIONS

1. Who We Are

"Budnik," "we," "us," and "our" mean Budnik Wheels Inc., a California corporation with a place of business at [STREET ADDRESS], [CITY], CA [ZIP]. "You" means the person or entity using this site or purchasing from us. "Site" means budnik.com and any subdomain, account portal, or online ordering tool we operate.

"Road Wheels" means our custom, made-to-order wheels. "Accessories" means center caps, hardware, apparel, and other in-stock items we sell. "Services" means refinishing, repair, custom design, and other work we perform to your specification. Sections that name Road Wheels apply only to Road Wheels. All other sections apply to everything we sell.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to order from us. If you order on behalf of a business, you represent that you are authorized to bind that business.

Some features require an account. You agree to provide accurate information, keep your credentials confidential, and notify us promptly at support@budnik.com if you suspect unauthorized use. You are responsible for all activity under your account. We may suspend or close an account at our discretion, including for suspected fraud, chargeback abuse, or violation of these Terms.

3. Quotes and Build Requests

Quote requests, build sheets, configurator output, and design consultations are not orders and do not create a contract. A quote is an invitation for you to place an order and is valid only for the period stated on it. If no period is stated, the quote expires thirty (30) days from issue.

Quotes are based on the vehicle, suspension, brake, and fitment information you supply. If that information is incomplete or inaccurate, pricing, lead time, and fitment may change. We may revise or withdraw a quote at any time before you place an order.

Renderings, configurator previews, sample images, and finish swatches are representations only. Actual finishes, machining, and color vary between production runs because of material lots, lighting, and the nature of hand-finished work. Reasonable variation of this kind is a characteristic of the product and is not a defect.

4. Orders and Order Acceptance

Your submitted order is an offer to buy. We accept an order only when we send an order confirmation identifying the accepted items. An automated acknowledgment that we received your submission is not acceptance.

Before we begin production on a Road Wheel order, we provide a specification confirmation listing wheel model, diameter, width, bolt pattern, offset, backspacing, center bore, finish, cap style, and any engraving or custom detail. You must review and approve that specification. Your approval controls what we build.

We may accept an order in whole or in part, decline it, or cancel it after acceptance, including where an item is unavailable, where pricing or product information was stated in error, where we cannot verify payment or shipping details, or where we suspect fraud. If we cancel an accepted order, our only obligation is to refund the amounts you paid for the canceled items.

Despite our efforts, this site may contain typographical errors, inaccurate pricing, or incorrect specifications. We reserve the right to correct errors and to cancel or refuse any order placed at an incorrect price, including after the order was confirmed and your payment method was charged.

5. Changes and Cancellations

All sales of Road Wheels are final ten (10) business days after order confirmation, or once the product enters production, whichever comes first.

Within that ten business day window, and before production begins, you may cancel or modify a Road Wheel order.

After that window closes, the following limited changes may still be possible:

  • Offset and backspacing. Changes can generally be accommodated and may incur additional cost.
  • Finish. Changes can generally be accommodated and may incur additional cost.
  • Width. Changes may be possible in some cases. This is evaluated per order and cannot be guaranteed. Additional cost may apply.

No other cancellation or modification will be accepted after the window closes. Road Wheels are built to your approved specification and cannot be resold, so a completed or in-production Road Wheel order is not refundable, returnable, or exchangeable except as provided in Section 14.

All change requests must be submitted in writing to support@budnik.com. A change is effective only when we confirm it in writing, including any revised price and revised delivery estimate. A change request may reset your production schedule.

Engraving, logos, artwork, and text you supply must be yours to use. You represent that you hold the rights to any artwork you submit, and you indemnify us against claims arising from it. We may decline any artwork at our discretion.

6. Pricing and Sales Tax

Prices are in U.S. dollars and exclude shipping, insurance, duties, and taxes unless expressly stated. Prices shown on this site may change at any time before we accept your order. Pricing for custom work is set by quote.

All sales to California residents are subject to applicable California state and local sales tax. Tax is calculated on the California shipping address and added to the order total at checkout.

For orders shipped outside California, you are responsible for any use tax, duty, import tax, brokerage fee, or customs charge owed in your jurisdiction. You are the importer of record for international shipments and are responsible for compliance with the import laws of the destination country. We do not undervalue shipments or declare goods as gifts.

7. Payment

We accept the payment methods shown at checkout or listed on your invoice. By submitting payment information, you represent that you are authorized to use the method and you authorize us to charge the order amount, including tax and shipping.

Road Wheels ship only upon receipt of full payment. Any outstanding balance must be cleared before the product ships. If the balance is not settled, shipment is delayed until it is. We are not responsible for delays caused by an unpaid balance, and a delay of that kind does not extend or alter any other term of these Terms.

If you initiate a chargeback on a properly fulfilled order, you agree to reimburse us for the disputed amount and any related fees, and we may suspend your account and decline future orders.

8. Production and Delivery Estimates

Road Wheel delivery is estimated at ten (10) weeks. This is an estimate, not a guarantee, and time is not of the essence.

Delivery may take longer because of material availability, design complexity, finishing capacity, third-party vendors, or the time required to meet our quality standards. We will keep you informed of any material change to your schedule.

A delay in production or delivery is not grounds for cancellation of a Road Wheel order after the window in Section 5 has closed, and does not entitle you to a refund, discount, credit, or damages.

9. Shipping and Risk of Loss

Unless we agree otherwise in writing, shipping terms are FOB our facility. Title and risk of loss pass to you when we deliver the goods to the carrier. Shipping charges quoted at checkout may be adjusted for oversized, freight, or remote-area delivery, and we will contact you before charging any increase.

Inspect on delivery

Inspect all packaging and contents at the time of delivery. Note any visible damage on the carrier's delivery receipt before signing. Report shipping damage or a shortage to support@budnik.com within five (5) business days of delivery, with photographs of both the packaging and the product. Claims reported after that window, or on a shipment signed for as clean, may be denied by the carrier and by us.

We are not responsible for carrier delays, refused deliveries, incorrect addresses you supply, or packages stolen after confirmed delivery. Reshipment of a package returned because of an incorrect or incomplete address is at your expense.

10. Accessories and In-Stock Items

Accessories that are unused, uninstalled, and in original packaging may be returned within [ACCESSORY RETURN WINDOW] of delivery with a Return Merchandise Authorization. Request an RMA at support@budnik.com. Returns sent without an RMA may be refused. Approved returns are subject to a [RESTOCKING %] restocking fee. Original shipping is not refundable and return shipping is your responsibility.

Custom, engraved, and special-order accessories are final sale. Road Wheels are governed by Section 5, not by this section.

11. Fitment Is Not Guaranteed

Our wheels are custom made to order. We cannot guarantee fitment to your specific vehicle.

We build to the exact specification you provide and approve. Fitment success depends on many factors outside our control, including your vehicle's suspension, brake package, ride height, steering geometry, fender clearance, hub design, aftermarket components, and tire selection.

We will make every effort to craft your wheels accurately to the approved specification. We cannot ensure that the wheels will fit your vehicle. A wheel built correctly to an approved specification that does not fit your vehicle is not a defect and is not covered by Section 14.

It is your responsibility to verify the specification before you approve it, and to verify fitment before installation. Fitment guides, configurators, and recommendations we provide are informational aids only and do not guarantee fitment on any specific vehicle. Confirming load rating relative to your vehicle's gross axle weight rating is your responsibility.

12. Installation

Installation must be performed by a qualified professional. Wheels are a safety-critical component.

Budnik is not responsible for any damage to the wheels, damage to the vehicle, or personal injury resulting from improper installation, improper mounting, improper balancing, incorrect lug hardware, incorrect torque, or improper use of the wheels. It is your responsibility to ensure proper fitment before installation.

Lug hardware must be installed to the vehicle manufacturer's torque specification and pattern, and re-checked after the first 50 to 100 miles and periodically thereafter.

Do not install a wheel that shows damage. Do not modify a wheel by re-drilling, welding, machining, heating, straightening, or refinishing outside our facility. Any such modification voids all obligations under Section 14 and transfers all risk to you.

13. No Certifications

Budnik wheels are custom aftermarket components. They are not represented as meeting DOT, SAE, JWL, VIA, TÜV, or any other certification, standard, or homologation, and we do not submit our products for certification testing.

You are solely responsible for determining whether a product is legal for use on public roads in your jurisdiction and for the intended use of your vehicle.

14. Defects and Manufacturing Errors

If a material defect or a manufacturing error occurs, we will address and correct the issue relating to that defect or error. This is your sole and exclusive remedy, and our sole obligation, with respect to the condition of a product.

Report a suspected defect to support@budnik.com with your order number, photographs, and a description of the issue before returning anything. We may require the product be returned, freight prepaid, for inspection. If we confirm a material defect or manufacturing error, we will, at our option, correct the product, replace it with the same or a comparable product, or refund the purchase price of the affected item.

Not a defect or manufacturing error

  • A wheel that does not fit your vehicle but was built correctly to your approved specification. See Section 11.
  • Finish, color, gloss, or machining variation between production runs, between wheels of different sizes, or between a wheel and a rendering, sample, or swatch.
  • Curb rash, road hazard, impact, pothole damage, accident damage, and cosmetic damage of any kind.
  • Normal wear, brake dust etching, water spotting, oxidation, and gradual dulling of finish.
  • Corrosion or finish failure from road salt, harsh or acidic wheel cleaners, automated car washes, degreasers, or failure to clean and maintain the wheels.
  • Damage from improper installation, mounting, balancing, torque, or lug hardware. See Section 12.
  • Damage from racing, track use, competition, drifting, off-road use, towing beyond rating, or overloading.
  • Any product modified, re-drilled, welded, straightened, machined, coated, or refinished by anyone other than us.

If we determine a claim does not involve a material defect or manufacturing error, return shipping is your responsibility.

15. Release of Liability

By purchasing and using Budnik Road Wheels, you acknowledge and agree to release Budnik Wheels Inc. from general liability concerning the use of the wheels. This includes claims of improper fitment, damage caused during use, and any other issue not directly related to a material defect or manufacturing error.

This release does not apply to any liability that cannot be released under California law, including liability for fraud, willful injury to the person or property of another, or violation of law, whether willful or negligent, under California Civil Code Section 1668.

16. Disclaimer of Warranties

EXCEPT FOR OUR OBLIGATION IN SECTION 14, THIS SITE, THE PRODUCTS, AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BUDNIK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THIS SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY FITMENT INFORMATION IS ACCURATE FOR YOUR VEHICLE.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

17. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL BUDNIK WHEELS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM THE PURCHASE OR USE OF OUR PRODUCTS OR SERVICES, INCLUDING DAMAGE TO A VEHICLE, LOSS OF PROFITS, LOSS OF USE, VEHICLE DOWNTIME, TOWING, RENTAL, DIMINISHED VALUE, LOST DATA, OR PERSONAL INJURY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THIS SITE, A PRODUCT, OR A SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO BUDNIK FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing in this section limits liability that cannot be limited under California law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Budnik Wheels Inc. and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of this site, your breach of these Terms, your violation of any law or third-party right, artwork or specifications you submit, the installation or use of a product on your vehicle, or your resale or transfer of a product.

19. Force Majeure

Budnik will not be held liable for any delay or failure to fulfill orders due to circumstances beyond our reasonable control. This includes natural disasters, pandemics, governmental regulations, supply chain disruptions, material shortages, supplier or vendor failure, labor disputes, equipment failure, utility or network outages, fire, flood, earthquake, severe weather, war, civil unrest, terrorism, cyberattack, carrier disruption, tariffs, and other unforeseen events.

20. Intellectual Property

Most of the content on this site, including product images, descriptions, and designs, is the intellectual property of Budnik Wheels Inc. This includes the BUDNIK name and marks, wheel designs, design names, spoke patterns, and machining patterns, which are protected under United States and international intellectual property law. Unauthorized use of any of our content without prior written consent is strictly prohibited.

You may view and print pages of this site for your own non-commercial use. You may not copy, reproduce, republish, scrape, frame, sell, or create derivative works from any part of this site without our prior written permission, and you may not use our marks in a way that suggests sponsorship or endorsement.

Content ownership claims

Some images on this site were sourced from an older database and their ownership is unverified. If you believe any content on this site is being used without proper authorization, contact us at programming@budnik.com with the URL of the page, identification of the content, and a description of your claim. Budnik is committed to promptly addressing any such issue and to respecting the rights of content owners.

Custom designs we develop, including drawings, CAD files, tooling, and design elements, remain our property unless we assign them to you in a signed writing. Purchasing or commissioning of a custom wheel does not transfer ownership of the underlying design or grant exclusivity.

21. Your Content and Submissions

If you submit artwork, photographs, reviews, build details, or testimonials to us or to our social channels, you grant Budnik a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to use, reproduce, modify, display, and distribute that content for marketing and business purposes, with attribution to your name or handle where practical.

You represent that you own or control the rights to the content you submit and that it does not infringe any third-party right or violate any law. We may remove or decline any submission for any reason. We do not treat submissions as confidential and have no obligation to compensate you for them.

Unsolicited design ideas or product suggestions are submitted at your own risk. We may already be developing something similar, and we are free to use ideas you send without obligation.

22. Acceptable Use

You agree not to use this site to violate any law, infringe intellectual property, transmit malware, attempt unauthorized access to our systems, scrape or index the site by automated means without permission, interfere with site operation, impersonate another person, or submit false order or payment information.

23. Third-Party Links and Dealers

This site may link to third-party sites, dealers, installers, or financing providers. We do not control and are not responsible for their content, products, services, pricing, workmanship, or privacy practices. A link is not an endorsement, and any transaction with a third party is between you and that party.

Authorized dealers are independent businesses. They are not our agents and cannot bind us or modify these Terms.

24. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. California residents have rights regarding their personal information under the California Consumer Privacy Act as amended by the CPRA. Those rights and how to exercise them are described in the Privacy Policy. Privacy questions go to support@budnik.com.

25. Electronic Communications

By using this site or placing an order, you consent to receive communications from us electronically, including order confirmations, invoices, specification approvals, and legal notices. You agree that electronic records and electronic signatures satisfy any legal requirement that a communication be in writing, and you waive any right to require a non-electronic record under the federal E-SIGN Act and the California Uniform Electronic Transactions Act.

If you opt in to marketing email or text messages, message and data rates may apply. Reply STOP to opt out of texts or use the unsubscribe link in any marketing email. Transactional messages about an open order continue regardless of marketing preferences.

26. California Notices

Proposition 65

WARNING: Products used in the manufacture of our wheels contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. By purchasing our products, you acknowledge awareness of this warning. For more information, go to www.P65Warnings.ca.gov.

Product-specific warnings, where required, appear on the applicable product page or on the product packaging.

Consumer complaints

Under California Civil Code Section 1789.3, California residents are entitled to the following notice. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. 27. Governing Law and Venue

These Terms are governed and construed in accordance with the laws of the State of California, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the purchase and use of our products is subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California. Each party consents to personal jurisdiction and venue in those courts and waives any objection based on inconvenient forum. Either party may bring a qualifying claim in small claims court.

Any claim arising out of or relating to these Terms, a product, or a service must be filed within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by law.

In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.

28. General Terms

Entire agreement. These Terms, together with any order confirmation, approved specification, quote, and our Privacy Policy, are the entire agreement between you and Budnik regarding their subject matter and supersede any prior understanding. Conflicting or additional terms in your purchase order or other document are rejected and have no effect unless we accept them in a signed writing.

Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force.

No waiver. Our failure to enforce any provision is not a waiver of that provision or of any other.

Assignment. You may not assign these Terms or any order without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

No third-party beneficiaries. These Terms create no rights in anyone other than you and Budnik.

Headings. Section headings are for convenience and do not affect interpretation.

Survival. Sections 11 through 22 and 27 through 28 survive termination of these Terms and completion of any order.

29. Changes to These Terms

We may update these Terms at any time. The updated version takes effect when posted, and the "Last updated" date at the top reflects the most recent change. Your continued use of this site after a change means you accept the revised Terms. The version in effect at the time we accept your order governs that order.
